1. Service Description

Inventory Analysis ("Service") is a cloud-based inventory management platform operated by Inventory Analysis Inc. ("we", "us", "our"). The Service provides inventory tracking, demand forecasting, purchase order management, and analytics for retail businesses.

2. User Accounts

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate and complete information during registration and keep your account information up to date.

3. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to the Service or its related systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, or disassemble any aspect of the Service
  • Use the Service to transmit malicious code or content
  • Resell, sublicense, or redistribute access to the Service without our written consent

4. Payment and Billing

Paid plans are billed monthly or annually in advance. All fees are non-refundable except as required by law. We may change pricing with 30 days' notice. If payment fails, we may suspend access to the Service until the outstanding balance is resolved. Free trials automatically convert to paid subscriptions unless cancelled before the trial period ends.

5. Data Ownership

You retain all rights to the data you upload to or create within the Service ("Your Data"). You grant us a limited license to use Your Data solely to provide and improve the Service. We will not sell, share, or use Your Data for purposes unrelated to the Service.

6. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable notice. We are not liable for any downtime, data loss, or service interruptions beyond our reasonable control.

7. Limitation of Liability

To the maximum extent permitted by law, Inventory Analysis shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

8. Termination

You may cancel your account at any time. We may suspend or terminate your access if you violate these Terms or fail to pay applicable fees. Upon termination, your right to use the Service ceases immediately. We will make your data available for export for 30 days following termination.

9. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts located in Miami-Dade County, Florida.
